By accessing or using waAgent.ai (‘Platform’ or ‘Services’), you agree to these Terms of Service (‘Terms’), our Privacy Policy, and all applicable laws. You must be 18+ and using the Platform for legitimate business purposes (e.g., WhatsApp CRM for SMBs). If you represent a business, you warrant authority to bind it. 2. Use of Services
waAgent.ai provides WhatsApp Business CRM tools, including inbox management, broadcasts, templates, and analytics via Meta SDK and Twilio integration. You may use Services only for lawful activities compliant with WhatsApp Business Policies (e.g., no spam, customer-initiated 70%+ messaging). Prohibited: Automated scraping, reverse engineering, or unauthorized API calls. Role-based access (e.g., SUPER_ADMIN for billing) is enforced; misuse voids warranties.
3. Account Responsibilities
You must provide accurate info during signup and Meta SDK onboarding (e.g., WABA ID verification). Maintain confidentiality of credentials; you’re liable for all activities under your account. Notify us of unauthorized access immediately. Accounts may be suspended for inactivity (90 days) or violations. Role-based permissions (e.g., ADMIN for teams) require adherence to internal controls.
4. Subscriptions and Payments
Services are free for basic use; premium features (e.g., unlimited broadcasts) require subscription via Stripe or integrated gateways. Fees are non-refundable except as stated. You authorize recurring charges; update payment methods promptly. Late payments incur 1.5% monthly interest. Trial periods end without notice; upgrade/downgrade effective next cycle. Taxes are your responsibility.
5. Intellectual Property
waAgent.ai owns all IP in the Platform (e.g., code, UI, logos). You receive a limited, non-exclusive license for business use. User Content (e.g., custom templates, uploaded media to S3) remains yours; you grant us a royalty-free license for service delivery (e.g., Twilio sends). Do not infringe third-party rights (e.g., Meta’s WhatsApp trademarks). Violations lead to takedown.
6. User Conduct
Conduct must comply with laws and Platform rules: No harassment, spam (e.g., unsolicited broadcasts), or illegal content via WhatsApp. Respect opt-outs (‘STOP’) and 24-hour windows. Teams must follow role limits (e.g., MEMBER: assigned chats only). We monitor for abuse; reports to support@waagent.ai trigger review. Violations: Warnings, suspension, or termination.
7. Termination
Terminate anytime via Settings > Account (data deleted within 30 days). We may suspend/terminate for violations, non-payment, or at discretion (30-day notice for non-violation). Upon termination: Access ends; outstanding fees due; data export available for 7 days. Surviving provisions: IP, liability, governing law.
8. Disclaimers
Services provided ‘AS IS’ without warranties (express/implied, including merchantability/fitness). No guarantee of uptime (99% SLA for premium), message delivery (WhatsApp/Twilio factors), or error-free operation. Beta features (e.g., dev mode analytics) are experimental. Liability excluded for third-party integrations (e.g., Meta outages).
9. Limitation of Liability
To maximum extent permitted, waAgent.ai (and affiliates) not liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits from undelivered broadcasts). Total liability capped at fees paid in prior 12 months. Exclusions: Force majeure, user errors, or unauthorized access. Consult counsel for specifics.
10. Governing Law
These Terms governed by Delaware, USA laws, without conflict principles. Venue: Delaware courts. For EU users: GDPR applies; disputes under Irish law if conflicting. International users: Local consumer laws may supplement.
11. Dispute Resolution
Pre-suit resolution encouraged. Disputes resolved via binding arbitration (AAA rules, Delaware) for claims >$10K; small claims court otherwise. No class actions. Opt-out of arbitration within 30 days via privacy@waagent.ai. Costs: Prevailing party recovers fees.
12. Modifications to Terms
We may update Terms for legal/tech reasons; notify via email/app (30 days advance). Continued use post-notification = acceptance. If changes material, you may terminate without fee. Review periodically at /terms.
13. WhatsApp-Specific Terms
Services integrate with WhatsApp Business API via Meta/Twilio. You comply with their policies (e.g., template approval, no promotional spam). We not liable for API changes/disruptions. Data processed per Privacy Policy (§3: Sharing with Meta).
